Definitions
The following terms have the meanings set out below when used in this Agreement:
- "Agreement" means these Terms and Conditions of Service, as amended from time to time.
- "Platform" means the u-AUDIT-C web-based construction document audit service accessible at uauditc.com and all associated sub-domains, APIs, and tools.
- "Service" means the AI-assisted audit report generation, drawing set analysis, code compliance review, and related features offered through the Platform.
- "User" or "you" means any individual or legal entity that registers for or accesses the Platform.
- "Provider", "we", or "us" means ubicuo.mx and its successors, affiliates, and assigns, as the operator of the Platform.
- "Audit Report" means any document, output, or PDF generated by the Platform in response to a User's uploaded drawing set and project parameters.
- "Credit" means a unit of platform currency entitling the User to perform one audit job, as further described in Section 5.
- "Applicable Building Code" means the building code designated by the User for a given project, or the BC Building Code 2024 (BCBC 2024) applied as default when no code is specified.
- "AHJ" means the Authority Having Jurisdiction — the governmental body responsible for enforcing building regulations in the project's jurisdiction.
- "Content" means any drawing files, PDF documents, specifications, or other data uploaded by the User to the Platform.
Acceptance of Terms
By clicking "Create Account", "I Accept", or by otherwise accessing or using the Platform, you agree to be bound by this Agreement. If you do not agree to all terms, you must not access or use the Platform.
If you are accepting on behalf of a company or other legal entity, you represent that you have full legal authority to bind that entity to this Agreement. If you do not have such authority, you must not accept this Agreement.
Minor Users: The Platform is not intended for use by individuals under 18 years of age. By registering, you confirm that you are at least 18 years old.
We reserve the right to modify this Agreement at any time. Material changes will be communicated via email or a notice upon login. Continued use of the Platform after such notice constitutes acceptance of the updated terms.
Description of Service
u-AUDIT-C is an AI-assisted construction document audit platform designed to help architectural and engineering professionals identify potential compliance issues, drawing quality concerns, and process gaps in building permit drawing sets.
What the Service Does
- Analyzes uploaded architectural PDF drawing sets using AI language model processing.
- Extracts project metadata and applies configurable audit parameters.
- Generates structured Audit Reports in PDF format, organized by finding category (Life Safety, Fire Protection, Accessibility, etc.).
- References applicable building codes, zoning bylaws, and internal quality standards as configured by the User.
- Produces Quality Control gate summaries, Drawing Quality findings, and confidence ratings.
Service Limitations
- The Platform operates on information contained in the documents provided by the User. It cannot independently verify field conditions or physical site parameters.
- Audit Reports are advisory in nature and do not constitute a certified professional opinion, an engineering review, or legal advice.
- The accuracy of code references depends on the building code documents loaded into the session. Default references are applied as described in Section 10.
- The Platform does not submit documents to any AHJ on behalf of the User.
Eligibility & Registration
To use the Platform, you must create an account by providing a valid email address and completing the email verification process. You agree to provide accurate, current, and complete registration information.
Account Security
- You are responsible for maintaining the confidentiality of your login credentials.
- You agree to notify us immediately of any unauthorized access to your account.
- We are not liable for any loss resulting from unauthorized use of your account when such use results from your failure to safeguard credentials.
- Accounts are non-transferable. You may not share, sell, or assign your account to another person or entity.

Subscription Plans & Credits
Access to audit job generation is governed by a credit system. One Credit corresponds to one successfully completed audit job. Credits are consumed upon successful generation of an Audit Report.
Credit Rules
- Credits are non-refundable once an audit job has been initiated and processed.
- Credits are not transferable between accounts.
- Unused credits on Per Phase or Studio plans do not expire unless otherwise stated in your plan description.
- Corporate plan credits are subject to the expiry date associated with your subscription period.
- We reserve the right to modify credit pricing, plan structures, and included features with reasonable advance notice.
Account Credit Cap: Accounts are subject to a maximum credit balance as defined by your plan. Purchasing additional credits beyond this cap may not be possible until the balance is reduced through use.
Failed Jobs
If an audit job fails due to a platform error attributable to the Provider, the Credit will not be deducted. If a job fails due to User-supplied document errors (corrupted files, password-protected PDFs, unreadable content), the Credit may be consumed at the Provider's discretion. The User may retry the job with corrected documents.
Payment Terms
All payments for credits and subscriptions are processed through Stripe, a third-party payment processor. By making a purchase, you agree to Stripe's Terms of Service in addition to this Agreement.
Billing
- All prices are listed in United States Dollars (USD) unless otherwise stated.
- An invoice will be issued to your registered email address upon each purchase, detailing the credit package or subscription plan acquired. Users are responsible for determining and remitting any taxes applicable in their own jurisdiction.
- Payment is required in full at the time of purchase.
- Invoices and receipts are provided electronically to the registered email address.
Refund Policy
- Unused credits may be eligible for a refund within 14 days of purchase, subject to a processing review.
- Credits partially consumed from a bundle are not eligible for refund of the remaining balance.
- Subscription fees are not refundable after the subscription period has commenced.
- To request a refund, contact support@uauditc.com with your order reference number.
Disputed Charges
If you believe a charge is in error, please contact us within 30 days of the billing date before initiating a chargeback with your card issuer. Initiating a chargeback without prior notice may result in account suspension pending investigation.
User Responsibilities
You are solely responsible for the accuracy and completeness of all Content you upload to the Platform. The quality of Audit Reports is directly dependent on the quality of documents provided.
You Agree To:
- Upload only documents for which you have the legal right to share and process.
- Verify that all project parameters (jurisdiction, applicable building code, project type, phase) are correctly configured before initiating an audit.
- Ensure that the zoning bylaw uploaded corresponds to the actual jurisdiction of the project being audited.
- Review all Audit Reports with a licensed architect or engineer before acting on any finding.
- Not use the Platform as a substitute for professional judgment or regulatory confirmation with the AHJ.
- Maintain appropriate professional qualifications for the jurisdiction in which you practice.
Document Accuracy
The Platform applies a default building code reference when no code document has been uploaded by the User. This default is identified at the time of audit generation and noted in the Audit Report cover page. If your project requires a specific building code, edition, or jurisdiction-specific standard, you must upload the applicable code document to the Platform before initiating the audit. We are not responsible for findings generated against an incorrect or default code where the User failed to specify and upload the correct applicable code.
Intellectual Property
Platform & Output
All software, algorithms, templates, report structures, audit logic, prompt frameworks, and AI systems comprising the Platform are the exclusive intellectual property of the Provider. This Agreement does not grant you any ownership rights in the Platform.
Audit Reports generated by the Platform are provided to you under a non-exclusive, non-transferable licence for use in connection with the specific project for which they were generated.
User Content
You retain full ownership of all Content (drawing files, documents) that you upload to the Platform. You grant the Provider a limited, non-exclusive licence to process your Content solely for the purpose of delivering the Service. We do not use your project documents to train AI models or for any purpose beyond service delivery and internal quality assurance.
Restrictions
- You may not reproduce, reverse-engineer, decompile, or create derivative works from the Platform or its underlying systems.
- You may not resell, sublicense, or redistribute Audit Reports as a commercial service without prior written consent from the Provider.
- You may not represent Audit Reports as certified engineering or architectural opinions.
Confidentiality & Data
Data Storage
Uploaded documents and generated Audit Reports are stored on secured servers in compliance with applicable Canadian privacy legislation, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and, where applicable, provincial equivalents.
Data Retention
- Uploaded project files are retained for the period necessary to deliver the Service and for a reasonable archival period thereafter, not to exceed 24 months from the date of the last audit job on the project, unless you request earlier deletion.
- You may request deletion of your project data by contacting privacy@uauditc.com.
- Account data (email, billing records) is retained as required by applicable tax and financial regulations.
Third-Party Processing
The Platform uses a third-party AI service for audit analysis. Document content submitted through the Platform may be transmitted to our AI service provider for processing. Their use of this data is governed by commercial terms that include confidentiality protections and a limited data retention period for security and operational purposes. We do not permit the use of your data for AI training purposes.
Payment processing is handled by Stripe, Inc. Your payment data is never stored on our servers.
Privacy
Our Privacy Policy, available at uauditc.com/privacy, governs the collection and use of personal information. By using the Platform, you consent to the practices described in the Privacy Policy.
Professional Responsibility
Critical Notice: Audit Reports generated by u-AUDIT-C are advisory tools only. They do not constitute a professional engineering or architectural opinion, a building permit application, a code compliance certificate, or legal advice.
All findings contained in an Audit Report must be independently verified by a licensed professional engineer (P.Eng.) or licensed architect (P.Arch. / Architect AIBC or equivalent) registered in the applicable jurisdiction before any findings are acted upon, submitted to an AHJ, or used to make design decisions.
Code Reference Accuracy
- The Platform generates hyperlinked code references to the building code document loaded for the project. Page anchors are extracted programmatically from the provided PDF.
- If no code document is provided, BCBC 2024 is applied as the default. The User is responsible for confirming the applicable code version with the AHJ.
- Building codes are subject to amendment. The User is responsible for confirming that the version of any code referenced in an Audit Report is current and applicable to their project.
Zoning & Bylaw Findings
Zoning findings are generated only against the bylaw document uploaded by the User. Findings are marked PENDING AHJ CONFIRMATION when the applicable bylaw has not been confirmed or loaded. The User must confirm all zoning interpretations with the local AHJ before relying on any zoning-related finding.
Disclaimer of Warranties
THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PROVIDER EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Any warranty that the Platform will be uninterrupted, error-free, or secure.
- Any warranty regarding the accuracy, completeness, or reliability of any Audit Report or code reference.
- Any warranty that the Platform will meet the requirements of any specific regulatory authority or AHJ.
AI-generated content is probabilistic in nature. Findings may omit issues present in a drawing set or flag conditions that a licensed professional would not consider non-compliant. Human professional review is always required.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE PROVIDER BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages.
- Loss of profits, revenue, data, or business opportunities.
- Costs of procurement of substitute services.
- Any damages arising from reliance on an Audit Report without independent professional verification.
- Any regulatory penalties, permit rejections, or construction cost overruns attributable to findings or omissions in an Audit Report.
The Provider's total aggregate liability for all claims arising under this Agreement shall not exceed the total amount paid by you to the Provider in the twelve (12) months preceding the event giving rise to the claim.
Jurisdictional Note: Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, the limitations above apply only to the extent permitted by applicable law.
Prohibited Uses
You agree not to use the Platform for any of the following purposes:
- Uploading documents that you do not have the legal right to share or process.
- Attempting to reverse-engineer, copy, or replicate the Platform's AI logic, prompt structures, or audit templates.
- Using the Platform to generate reports that will be submitted to an AHJ under the representation that they constitute a professional certification.
- Reselling, white-labeling, or sublicensing the Platform's output without written authorization from the Provider.
- Uploading malicious files, attempting to compromise Platform security, or engaging in any activity that disrupts service availability for other users.
- Circumventing the credit system through technical means, chargebacks, or abuse of the refund policy.
- Creating multiple accounts to exploit introductory credits or promotional offers.
- Using the Platform for projects in jurisdictions where you do not hold valid professional licensure, unless you confirm that a licensed professional will review all output prior to regulatory submission.
Violation of these prohibited uses may result in immediate account suspension and forfeiture of unused credits, without refund, at the Provider's sole discretion.
Termination
Termination by You
You may close your account at any time by contacting support@uauditc.com. Account closure does not entitle you to a refund of unused credits except as provided in the Refund Policy in Section 6.
Termination by the Provider
We reserve the right to suspend or terminate your account, with or without notice, for any of the following reasons:
- Breach of any provision of this Agreement.
- Non-payment of fees or disputed chargebacks.
- Conduct that, in our sole judgment, endangers the Platform's integrity, security, or reputation.
- Regulatory requirements or court orders compelling us to do so.
- Cessation of the Platform's operations.
Effect of Termination
Upon termination, your right to access the Platform ceases immediately. You may request a data export of your project documents and Audit Reports within 30 days of termination, after which your data may be deleted in accordance with our retention policy.
Sections 8, 9, 10, 11, 12, and 15 of this Agreement survive termination.
Governing Law & Dispute Resolution
15.1 — Governing Law
This Agreement is governed by and construed in accordance with the federal laws of the United Mexican States (Código Civil Federal and Código de Comercio), without regard to its conflict of law provisions. The parties acknowledge that the Service is provided internationally and agree that this choice of law is reasonable given that the Provider is incorporated and operates under Mexican law.
15.2 — Good Faith Negotiation
The parties shall first attempt to resolve any dispute, controversy, or claim arising out of or relating to this Agreement through good faith negotiation for a period of thirty (30) days following written notice of the dispute to the other party.
15.3 — Binding Arbitration
If negotiation does not resolve the dispute within the period set out in Section 15.2, the dispute shall be finally settled by binding arbitration administered by the Centro de Arbitraje de México (CAM), under its Commercial Arbitration Rules in effect at the time of the dispute. The following conditions apply:
- The seat of arbitration shall be Hermosillo, Sonora, Mexico.
- The number of arbitrators shall be one (1), unless the amount in dispute exceeds USD $100,000, in which case a panel of three (3) arbitrators shall be appointed.
- Proceedings may be conducted in English or Spanish by mutual written agreement of the parties; absent such agreement, English shall be the default language.
- The arbitral award shall be final and binding on both parties.
15.4 — Enforcement of Awards
Judgment upon any arbitral award rendered may be entered and enforced in any court of competent jurisdiction. Both Mexico and Canada are signatories to the New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards (1958); awards are therefore enforceable in both jurisdictions without re-litigation on the merits.
15.5 — Injunctive Relief
Notwithstanding the foregoing arbitration obligation, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm, without waiving its right to arbitration for the underlying dispute.
15.6 — Class Action Waiver
Any dispute resolution proceeding under this Agreement shall be conducted only on an individual basis. You waive any right to participate in a class, consolidated, or representative action or arbitration.
Note for Canadian Users: Although this Agreement is governed by Mexican federal law, arbitral awards are fully enforceable in Canada under the New York Convention, to which both Mexico and Canada are parties. You are not required to litigate in Mexico to enforce your rights; enforcement may be sought before the courts of your province or territory.
